Interim Regulation on Enterprise Information Disclosure Order of the State Council of the People's Republic of China (No. 654) The Interim Regulation on Enterprise Information Disclosure, as adopted at the 57th executive meeting of the State Council on July 23, 2014, is hereby issued, and shall come into force on October 1, 2014. Premier: Li Keqiang August 7, 2014 Interim Regulation on Enterprise Information Disclosure Article 1 This Regulation is formulated to guarantee fair competition, promote theintegrity and self-discipline ofenterprises, regulate enterprise information disclosure, intensify enterprise credit restraint, maintain transaction safety, improve the effectiveness of government regulation, and expand social supervision. Article 2 For the purpose of this Regulation, enterprise information means the information formed during the period when an enterprise registered with the administrative department for industry and commerce is engaging inany production or business operation activity, and the information generated in the process of a government department's performance of its functions that can reflect the status of the enterprise. Article 3 Enterprise information shall be disclosed in an authentic and timely manner. Where any enterprise information to be disclosed involves state secret, state security or public interest, such information shall be reported to the competent confidentiality administrative department or the state security organ for approval. The enterprise information to be disclosed by a relevant department of the local people's government at or above the county level, if it involvesany trade secret of the enterprise or any individual privacy, shall be reported to the superior competent department for approval. Article 4 The people's governments of all provinces, autonomous regions, and municipalities directly under the Central Government shall lead the enterprise information disclosure work within their respective administrative regions, and, in accordance with the general requirements of the state for social credit informationplatform construction, promote the construction of the enterprise credit information disclosure systems within their respective administrative regions. Article 5 The administrative department for industry and commerce of the State Council shall promote and supervise the work on enterprise information disclosure, and organize the construction of enterprise credit Information disclosure systems. Other relevant departments of the State Council shall, in accordance with the provisions of this Regulation, effectively conduct the relevant work on enterprise information disclosure. The relevant departments of local people's governments at or above the county level shall effectively conduct the enterprise Information disclosure in accordance with the provisions of this Regulation. Article 6 Administrative departments for industry and commerce shall, through enterprise credit information disclosure systems, publicize the following enterprise information generated during the performance of their functions: (1) Registration and recordation information. (2) Chattel mortgage registration information. (3) Equity pledge registration information. (4) Administrative punishment information. (5) Other information that shall be disclosed in accordance with the law. The enterprise information as prescribed in the preceding paragraph shall be disclosed within 20 working days after its generation. Article 7 Government departments other than administrative departments for industry and commerce (hereinafter referred to as “other government departments”) shall disclose the following enterprise information generated during the performance of their functions: (1) Granting, modification and renewal of administrative licenses. (2) Administrative punishment information. (3) Other information that shall be disclosed in accordance with the law. Other government departments may, through enterprise credit information disclosure systems or other systems, disclose the enterprise information as prescribed in the preceding paragraph. Administrative departments for industry and commerce and other government departments shall, in accordance with the general requirements of the state for social credit information platform construction, realize the interconnection and sharing of enterprise information. Article 8 An enterprise shall, from January 1 to June 30 each year, submit the annual report of the previous year to the administrative department for industry and commerce through the enterprise credit Information disclosure systems, and make it available to the public. An enterprise formed and registered in the current year shall submit and disclose its annual report from the next year. Article 9 The contents of the annual report of an enterprise shall include: (1) The mailing address, postal code, telephone number, e-mail and other information of the enterprise.
