Measures for the Management of Development Plans of Central Enterprises

Chapter I General Rules
Article 1 These Measures are developed in accordance with the Company Law of the People's Republic of China, the Law of the People's Republic of China on the State-owned Assets of Enterprises, the Interim Regulation on the Supervision and Administration of State-owned Assets of Enterprises, and other applicable laws and regulations for the purposes of fully implementing the Xi Jinping Thought on Socialism with Chinese Characteristics for a New Era, performing enterprises' duties as contributors of state-owned assets in accordance with the law, regulating the management of development plans of central enterprises, strengthening the leading role of development plans, directing central enterprises to implement the new development concept in a complete, accurate, and comprehensive manner, strengthening core functions, and enhancing core competitiveness.
Article 2 For the purposes of these Measures, “central enterprises” means enterprises for which the State-owned Assets Supervision and Administration Commission of the State Council (“the SASAC of the State Council”) performs investors' duties on behalf of the State Council. For the purposes of these Measures, “development plans” means the directional and overall arrangements made by a central enterprise for its development within a certain period in the future based on the analysis of the macro-environment, the internal development status and its changing trends, emphasize the strategic and overall arrangements for optimizing the industrial layout and adjusting the structure, and serve as the development guideline of the enterprise.
Article 3 Central enterprises, as the entities responsible making, implementing and performing duties on development plans, shall improve the development plan management mechanism, make development plans, strengthen the implementation of development plans, organize the assessment and adjustment of development plans, and establish and improve the working system for guiding the reform and development of enterprises.
Article 4 The SASAC of the State Council shall improve the supervision and administration system and working mechanism for the development plans of central enterprises, coordinate the preparation of development plans, organize the review of development plans, supervise the implementation and adjustment of development plans, conduct comprehensive evaluations, and promote the connection of the management of development plans of central enterprises and the regulatory duties of the SASAC of the State Council.
Chapter II Construction of the Development Plan Management Mechanism
Article 5 A central enterprise shall, in accordance with the provisions of these Measures, establish and improve development plan management rules, and submit the same to the SASAC upon deliberation and approval by the board of directors. The development plan management rules shall cover:
(1) decision-making procedures, decision-making bodies and their duties for development plans;
(2) development plan management processes, management department and their duties;
(3) management provisions on the preparation, implementation, assessment, and adjustment of development plans;
(4) arrangements for coordinating development plans and budgeting, investment, assessment, and other functions; and
(5) other relevant content that shall be included.
Article 6 Major matters such as the preparation, adjustment, annual work plans on, and reporting of the implementation of development plans of a central enterprise shall be submitted to the board of directors for decision-making after prior research by the Party committee (leading Party group).
Article 7 The chairman of the board of directors of a central enterprise shall be the primary person in charge of the management of development plans. The board of directors shall specify a special committee to be responsible for consulting and supporting the decision-making of development plans and designate a member of the management to be responsible for the overall management of development plans.
Article 8 A central enterprise shall designate a working department to be in charge of the management of development plans, and take the lead in organizing the preparation, implementation, assessment, and adjustment, among others, of development plans. Relevant functional departments shall effectively connect with and support subsidiaries at all levels and implement various work arrangements on development plans according to the division of duties.
Article 9 A central enterprise shall designate a special body to specifically undertake the research on major issues relating to its development plans, support the preparation, implementation, assessment, and adjustment of development plans and other work, and may introduce an external consulting institution as required.
Article 10 A central enterprise shall strengthen the management of basic information on development plans, follow up and monitor industrial development, and dynamically assess the implementation of development plans.
Article 11 The SASAC of the State Council shall improve the expert consultation mechanism, establish and improve information systems, and build a database of development plans, which shall serve as the fundamental support for promoting the optimization and structural adjustment of the layout of the state-owned economy......
